1. Services Offered

Ichabod Commerce provides e-commerce consulting, development, design, and strategy services, including but not limited to platform migration, SEO optimization, custom integrations, and performance improvements. Specific terms related to individual projects will be outlined in a separate agreement.

2. Eligibility

By accessing or using our services, you represent that you:

  • Are at least 18 years old and capable of entering into a binding agreement.
  • Will provide accurate, current, and complete information as requested.

3. Client Responsibilities

You agree to:

  1. Provide Access: Supply necessary access credentials, files, and materials required for us to deliver services.
  2. Timely Communication: Respond promptly to requests for approvals, feedback, or additional information.
  3. Compliance: Ensure that your e-commerce platform complies with applicable laws and regulations, including those related to intellectual property, data privacy, and consumer protection.
  4. Payment: Pay all fees for services rendered as outlined in your agreement.

4. Fees and Payment

  1. Payment Terms: Fees for services will be outlined in the project agreement or invoice. Payment schedules may include upfront deposits, milestone-based payments, or monthly retainers.
  2. Late Payments: Late payments may incur interest at a rate of 1.5% per month or the maximum allowed by law.
  3. Refunds: All fees are non-refundable unless otherwise specified in writing.

5. Project Scope and Changes

  1. Defined Scope: All services will be delivered according to the scope defined in the project agreement.
  2. Change Requests: Any changes to the scope of work must be documented and may result in additional fees or adjusted timelines.
  3. Completion Timeline: While we strive to meet deadlines, delays may occur due to client actions, third-party dependencies, or unforeseen circumstances.

6. Confidentiality

Both parties agree to keep confidential any proprietary information shared during the course of the project, including but not limited to business plans, financial information, and client/customer data.

7. Intellectual Property

  1. Client-Owned Content: Content, logos, and branding materials provided by the client remain the client’s property.
  2. Agency Work Product: Upon full payment, ownership of custom work created by Ichabod Commerce will transfer to the client unless otherwise specified. Ichabod Commerce retains the right to showcase completed projects in our portfolio unless explicitly restricted by the client.

8. Third-Party Services

Ichabod Commerce may recommend or integrate third-party tools, plugins, or services as part of your project. We are not responsible for the functionality, terms, or security of these third-party services.

9. Warranties and Disclaimers

  1. No Guarantee of Results: While we aim to provide the highest quality of service, we do not guarantee specific results, such as revenue increases or top search engine rankings.
  2. Limited Warranty: Our work is warranted to be free from defects for 30 days after delivery. Any issues identified within this period will be corrected free of charge.
  3. Disclaimer of Liability: Ichabod Commerce is not liable for any indirect, incidental, or consequential damages resulting from the use of our services.

10. Termination

  1. Termination by Client: You may terminate services by providing 30 days’ written notice. Fees for work completed up to the date of termination are non-refundable.
  2. Termination by Agency: Ichabod Commerce may terminate services if the client violates these Terms of Service or fails to make timely payments.

11. Governing Law

These Terms of Service are governed by the laws of [Your State/Country], without regard to its conflict of law principles. Any disputes will be resolved in the courts located in [Your State/Country].

12. Changes to Terms

Ichabod Commerce reserves the right to update these Terms of Service at any time. Any changes will be communicated via email or our website. Continued use of our services constitutes acceptance of the updated terms.
